Batman and Spiderman.

Spidey could easily web yank Freeze's gun away from him at the starting bell, close in with a rush attack, and put him out of comission. And there's no weopon in Black Cat's possesion as of today that has a remote chance of stopping Spidey, much less stack up in value to the gadgetry Batman carries regularly.

Since she does have implants that harness the same super soldier serum that created Cap. America, I could see her give it a go with Bats in a hand-to-hand fight, but the slight strength, speed, and agility advantage may not be enough due to her lackluster knowledge of fighting styles. This could give Bats the edge, but, still, it could be close depending on Batman's knowledge of how to deliver a well-placed nerve strike. If this knowledge is sharp, he gets the edge in HTH combat.

Bats couldn't stand up to Venom, judging on looks alone he'll fight smart and stay out his way, but he can only do so for so long. Venom has the endurance edge and high resistance to injury factor that'll keep him safe with Batman's utility belt trinkets, not to mention his superior agility and strength that will allow him to avoid some serious heat Bruce'll be packing and throwing all over the place and close in for a damaging (or fatal) heymaker.

Spidey's a different story. He's got agility and reflexes (base reaction time still 15x faster than that of a human minus spider sense) to boot. Not to mention webbing that'll keep Venom on his toes and slightly out of reach of Pete. Then there's strength, when the going gets tough Parker can definitely get going. If he needs to pull of an attack that will require a little more than what he's suited to, I think it's safe to say that he's all for it, and with his upgrade coming into play physically, the fight can get alot closer than what Venom bargained for. Eventually Venom's gonna slip while trying to deal with Pete's speed, agility, and reflexes, not to mention Spidey's knowledge of Venom already being a major factor. The symbiote will eventually leave a spot open to which Spidey will deliver a more than damaging blow, with this to disorient Venom and derail him from the task at hand, Parker will be left with alot of open spots for Spidey to attack leaving Venom with no choice but to succomb.
