Cap has the edge in experience and carries an indestructable weapon that Cat could never punch through. I doubt there's much one could do to the other to tire each other out, they're an even match physically from my understanding, but as I've said before there's nothing Black Cat could do to penetrate the shield, not to mention the leg up he has by knowing multiple fighting styles. While I'm sure Black Cat has had her fair share of training sessions, I'll give the majority to Cap.
