They both have basically the same abilities. Who do you think would win? Personally I go either way on this one.

Tony acts in a more scientifical way, he relies too much on the systems of his armor to defeat an enemy, during his fights with Temugin, he was scared of someone that both on the raw power but especially in the physical power sector was able to nearly kill him with ease and just with martial arts skills, when Tony fight with someone that is more a warrior but is also a genious (like Temugin), his self confidence becomes his major weakness.James Rhodes is not Temugin or Stark, but his experience as soldier of fortune and security agent, plus battle experience as War Machine may grant him to gain the upper hand on Tony, just remember when he was fighting the giant version of War Machine enhanced from the Baintronics, the guy in the armor, an old friend of Rhodey, was a soldier of fortune as him, same training and same skills, and he was giving Tony a hell of a fight, and he nearly beat down him.
