Who wins?

It kind of depends. Clarks structure is physically more dense and his kryptonian physiology makes him still stronger than bats. Not by a huge margin but by a bit so he has a chance. If this is counted its either 50/50 or bats 6/10. If we make him a totally regular human being its more like bats 8 or 9 of 10.

Bruce, definitely. Clark doesn't know as many fighting skills as Bruce does. Clark relies on just a "pummel and chuck" method of fighting for the most part. Bruce would have this, and then he'd laugh and offer Clark a hand up.

If Clark is powerless he has no chance at all. Hell, Tim Drake would probably beat him 10/10 too.
