The match takes place in neutral ground in hell (Signifying he is not in either Top Cows or Image version of hell).

Light itself isn’t enough, this was explained in #2 I believe.
And again in the Spawn vs. Magdalena rematch (ware Maggie used holy light).
I think its even hinted that at the vary best, The Darkness is capable of functioning 100% under sunlight and creating being of Light itself (refer to The Darkness #0.5).
Well this is the Darkness at his best.
I have seen the critters eat bullets, while they are being fired.

Depends how much light as well.
Angelus and Magdalena could not create sufficient amount of light to overpower the Darkness.
