The 2 almost fought in "Spiderman 3" in what kinda seemed like a potential can 'o whoop ass for Venom, but in reality, whom would've won?

IIRC, the one time they did go head to head, venom seriously wounded and nearly killed him.

it happen before venom bit sandman.he died from poising and dissolved into the sea,something like anyway.

It happened twice before. First time Sandman needed help from the wildpack and then second time Venom almost killed him.
