Spider-Woman has access to SHIELD, Avengers and Stark... so her prep would be a lot better.
In a straight match, still Spider-Woman, because of range and flight.
Dead Girl might be able to tag her with levitation and throwing clawed hands at her... or Dead Girl could possibly phase through her attacks, but that's not the usual MO.
Really it comes down to if Spider-Woman could put Dead Girl down before she gets tagged.
