If by SheHulk you actually mean Red She Hulk, current Rulk's daughter, #1 is conceivably debate-able, #2 is a win for Betty.

#2, is, in fact, how Rulk was revealed to be Thunderbolt Ross -- Betty simply used the absorption power she has to drain the gamma energy directly from her father to defeat him and reveal his true from.
They battled fairly evenly before she did that.

Keep in mind that Rulk can overheat from exertion. Betty does not have that problem. In any sustained hand-to-hand the advantage will shift gradually to her.
