Panther in both.
Holt is no pushover, but BP has to much going for him between his stats, suit and equipment.

Better fight with prep, but still I would give a (slighter) edge to BP.

1. Terrific wins with ease. He has a crap load of tech on his side, including hundreds of T Spheres at his command.
2. Terrific wins again. He's basically the poor mans Reed (pulls all kinds of miracles on the fly) in the DCnU and will continue to grow.

Terrific because BP sees through technology with his suit on and Terrific is invisible to technology. Also thousands of T-Spheres with varying capabilities would be too much.

I have never been impressed with Black Panther from a technical standpoint, he's brilliant but the most impressive piece of tech he's ever made was the Nowhere room and it was such a disaster that Deadpool was the only one who could survive going through it.

In a prep fight Holt wins, his tech is considerably better than T'Challa's

Random fight can go either way, if Panther gets in close he'll beat Holt's ass but the TSpheres have knocked Captain Marvel and Black Adam for a loop.
