Who wins?

Round 1 heavily depends on whether the whips can damage the arms and by how much. If they cut clean through, Whiplash can win a small majority. Otherwise, Ock gets a healthy majority due to more number of arms, larger range and blades. Whiplash could still win if he gets a lucky shot in, since he was fast enough to go slice repulsor blasts out of the air and is strong enough to throw Ock around.

Round 2 Whiplash annihilates. Ock ain't doing anything to someone who can no sell minigun rounds and take Mk6 Iron Man's punches with minimal damage, and strong enough to tangle with Mk6 Iron Man and War Machine at the same time. Plus his whips now have more range and power as well.

Ock stomps in round 1.
