so, IF in some dystopian future, corporations DID replace governments, HOW would they have gone about doing? what are the steps that COULD POSSIBLY lead to multinationals taking over for national governments? i'm not asking if it's possible--i interested in knowing some ways that it COULD happen. what role would the world bank or IMF play? would it start with a privatized military or a government seeking a loan from a multinational and thus basically becoming a servant of said multi? looking for plausible scenarios.

It probably couldn't happen on Earth.
But it COULD happen on colony-worlds where the only existing authority set up there would be a corporation in charge of terraforming a planet, for example.
On those colony-worlds that corporation would essentially be calling the shots and be in control of everyone's livelihoods - and that would pave the way for that corporation to become the seat of government on that planet, since none would exist beforehand.
On Earth however, elite-families will always be the heads of state, whereas corporations would have some power - but not as governmental heads of state.

that's a great idea and observation that i hadn't thought about before. thanks.

Don't de-facto corporate governments exists already?
Mining territories and such? Places where the waters poisoned because of mineral rights?
Hell, the Irish Potato Famine was essentially English businesses profiting off of Ireland's naive crop during a period of blight, at the expense of the native population..

One scenario might look like a variation of the 'resource curse': a developing country with relatively weak governance holds a natural resource that suddenly becomes a highly valued commodity. A multinational takes over the commodification of that resource, and becomes the controlling power in that country.
Another scenario might reverse the story and start with a strong government but weak property/contract laws (ie, China). Corporations are allowed to grow and thrive, but there may be little stopping the government from taking ownership over data and property if they decide it's in the national interest. In that model, we might also see the lines blurred between 'government' and 'corporation'.
