Because the prequel would involve telling the story of the war with machines and they didn't think they could do it justice.
Hence there being talk a while back of them doing an animated prequel at some point.

Well, the three main good guys are all signed up.
So is Agent Smith, not as dead as suspected.
Weirdsly, they ALMOST signed up Joe Pantoliano (Cipher), but he wanted more money. Quite how he would have been in it I don't know.
