First team. They'd be able to work together better than the second team. Daredevil would fight Bullseye, Captain America would most likely go for Bane because he's supposedly the strongest one on the hero's side, get Nightwing to make quick use of Mr. Freeze while Batman talks down Red Skull and convinces him to kill himself.

first team, i think Batman would take Mr Freeze, kick the gun out of his hands n freeze him Captain America would take Bane, decapitates him w/ his shield, DD>Bullseye, and Nightwing beats Red Skull....
