Spider-Man can defeat him, superior strenght, reflexes, reaction time, agility, stamina, web to use for many tricks, Batman can use a smoke grenade and Spidey will find him anyway.So Batman lose.
If you start saying Batman will kidnap MaryJane and put her near a place full of plasma bombs, Spidey arrive and BOOM, that's not a fight.
It's just a dumb situation.When Batman outsmart guys it's just because in almost any fights guys with superpowers doesn't know he's smart and a great tactician.As he defeat the Hyperclan members but they were weakened and leaved powerless from fire.If they weren't Bats can only jumps with a 100megaton nuclear bomb and sacrifice himself.
Well, in Batman's defense, even the biggest Batman fanboy knows that Batman wouldn't kidnap anyone. He doesn't go after innocents. I don't know if anyone's actually said it, but it just wouldn't happen.

these batman fans are starting to get on my nerves. batman IS NOT undefeatable. no matter how much prep time he has, he does not have unlimitted resources, and he does not know everything. one cannot find a solution for ALL problems, and he cannot anticipate every move his opponents make.
and a lot of the hero's i stated above have powers that batman would have a really hard time fighting against no matter his prep time. and besides, you people talk as is its only batman who gets preptime. don't you guys think his opponents get to plan also?
ok if your going for a battle between two simularly dark oponants then may i suggest a battle between batman and Cloak. yes Cloak may have his superpowers but i am sure that batman has antidimental portal spray in his utility belt
oh and another interesting battle would be between batman and the vision ( that is before shehulk ripped him in two;.... literaly)

Batman with "Prep Time" can beat any super hero or villain ...Remember,he's got the "files"...Yes the "file" goes a long way!...Yes with "files" you can take on Silver Surfer,Super Man and Thor combined!
