I'd say Black Tarantula in a random encounter. Too much of a physical advantage. At his best he was above Spider-Man when it comes to strength and durability.
I don't think his eye beam would get past Black Panthers suit, but at the same time I also don't see Black Panther doing enough damage to wear Black Tarantula down. And when it comes to uphill battles, I always go with the character with the base advantages.
