-Each side can use what ever materials, resources, or allies they can gain.

Round 2
-No Prep time
-Each side is warped to a empty indestructable battlefield
-Each side is pitted against each other in a fight to the non existance (meaning even if one is killed, if they have a astral form then they are still in the battle), it is untill the opposing team is taken out of existence that the battle is over.
-Each side determined to eliminate the other side at any sacrifice
-All members of both sides are at their strongest point shown in comics
-Thanos can be killed

Round 3
-Reed Richards is the Reed Force
-Franklin Richards is at Full Potential
-All other FF are at full potential
-Thanos has HOTU

Thanos wins all three rounds....
