If its a H2H battle in which i think the OP intended, I give team 2 the majority.

team two is chock full of people who are prepared to counter their prep not to mention that tasky can choose from any of his wide array of toys and hand them out also

The other team has some prep as well, and they only need enough to reduce the effect of enemy prep partially.

if "prep" means just research and training, Team 2 wins. there's no way for them to overcome the advantage of Elektra's TP or Taskmaster's photographic reflexes in a week.

if "prep" means team 1 gets to bring every gadget under the sun from phantom zone projectors to vibranium suits for everyone, then yes, Team 2 gets stomped 10 times out of 10.

Since the thread title is "martial arts battle" and not just an all out anything goes melee, I'd be leaning towards the silly stuff like projectors etc being off limits and lean towards team 2 being the victor.
