If he is connected to his ship, Brainiac could physically match Henshaw, theoretically, but in practice, Henshaw takes over everything around them and beats the shit out out of him.

If he is not connected to the ship, Brainiac is useless in anything resembling close combat and Henshaw, again, destroys him.

I'd go with Henshaw.

I'm not sure if he could take over Brainiac's stuff. He likely has a defense against intruders.

Henshaw takes Brainy's tech and beats him over the head with it.

Henshaw, with or without his rings, wins.
