Ultron's body seems like it'd be ripe for takeover by Henshaw. Even without that, I'd still take team two since team one really doesn't have a way of dropping Hank.

Ultron is a formidable technopath as well. Especially with the Phalanx. I don't think Hank could hack Ultron that easy if at all.

Can't the Cosmic Control Rod be used to mess up Cyborg?

Team 1 because of Annihilus. Sinestro is tailor made for the bug's energy leeching ways.

Ultron is powerful enough to hold of hank whilst Annihilus easy drains and rapes Sinestro

Easy or not, Sinestro is just tailor made for him. Team 1 has a huge advantage.
