Both teams are have defeated their respective alien invasions and now war at each other.
XCOM 1994 is in USA and and XCOM 2012 in Europe. They both send transportation ships to Central Australia to fight it out in a battle to the death.
The locale is in a flat desolate desert setting with a landmass rising in the middle of the the battle field. The battle field is 400 mtrs apart with the middle hill raising 8 ft into the air.
Both teams have have soldiers at the peak of their game.
ROUND ONE: All out war no disadvantages.
ROUND TWO: Probably the most fair one. Both teams can only have 6 operatives on each team.
