Since you didn't put any stipulations, I'm going to say this happens after End Game and Bucky asks Doctor Strange to use the borrowed Time Stone to send him back in time to when Black Noir was a baby and then straggles Black Noir in his criib with his robot arm.

BN has better stats, WS has more skill (imo).

Random encounter, Black Noir. Too tough, too strong. If they get prep, well, WS seems to have better experience as an assassin and has access to enough firepower to probably take out BS. Still won't be easy though.
