Being a huge Venom fanboy im gonna say - Brock wins.
He's durable to take anything Ares throws at him. And is strong enough to fight back plus has many other ways to take Ares down.

Tough fight but IMO Ares is more durable but Venom seems to be quicker and has a couple tricks. Venom for the ever so slight majority.
