Spider-Man ftw. Even if he couldn't wail on him because of the Sheild's suit, he could always web him to a wall, or bfr him with a lamp post.

Shild is also a much better fighter, thanks to the suit. I meant for Spidey to have his suit that was built by Stark. I highly doubt Spidey can win this by himself.
Remember, the suit also enables him to fly at super speeds. Which Spidey won't be able to keep up.
