Black suit Spider-Man vs Captain America/Batman

No Prep.

Spidey has the symbiote.

Weapons are permitted.

Who takes it?

The Symbiote gives Spiderman no adavantage here as it didn't enhance his abilities at all when he had it

I don't remember it enhancing him, just made him more aggressive, unless that's all you wanted.

The costume gave him unlimited webbing, which means he could go to town webbing up every surface that Cap, and Batman stands on. Spiderman is also stronger, faster, more agile, and more durable than both of these guys combined, and he still has low level precognitive powers.

This is obviously a spite thread, did you read the rules concerning these types of threads?

Cap/Bats ftw. Batman figures out sound hurts the symbiote brings out sound device turns it on the symbiote goes bye bye.

Unlimited webbing and limited shape-shifting are the only things that the comic-book version of the symbiote added to Spidey's powerset. It also made him less likely to hold back, but it did not give him any new physical strength or speed that he did not already possess. Darn the 90s animated show for spreading such confusion!

If Batman can use sound first before their heads get knocked off then they win.
