The suit Shocker wears deflects physical blows and also makes him virtually impossible to grab. All Shocker has to do is vibrate the air on his "level 5" power and that is powerful enough to vibrate somebody's bones into jelly. Shocker wins.

You don't need a good reason against Shocker. He's Shocker: Ergo, he loses.

Ollie's smart enough to keep his distance, unless they start too close. And what he lacks in raw power compared to Shocker, he makes up for with precision.

Everyone almost beat Spidey in their first encounter. Hell, it was years before he ever actually beat Kingpin. But that doesn't mean much. Parker was learning his powers, and wasn't written anywhere near as strong and experienced as he is now.
