Cass has better martial skills, but Spiderwoman's reflexes/agility are almost equal to Spiderman's (he's a clear notch above her, though), and she is almost as strong. Coupled with her bio-electric powers (she only needs to solidly connect with one blast to stun BG, and she's capable of multi-arc/broad-band attacks), Jess has the clear advantage over Cass.
If Jess decides to play fair, and not use her VB (as she has in other fights, notably against the physically comparable Tigra), then Cass can get a win or two, as SW's durability, while above peak human, is not so great that she can't be laid low with pressure points/precision strikes. And, of course, if Cass has the element of surprise (unlikely, but possible), then she can eke a win that way, as well.
Spider Woman fighting normally: 9/10, likely a slam.
Spider Woman "playing fair"/only with prowess&skill: 7+/10
