Actually you are exactly right for Spawn has a symbiote for a costume over his body which ill protect him from the Penance Stare. Like when Ghost Rider tried to use it on Venom though because Venom had symbiote it caused the Penance Stare to backfire on Ghost Rider. If GR tries that Penance Stare on Spawn it will backfire on him so your correct it doesnt work on Spawn. Also Spawn would win because his abilities are far more versatile then Ghost Rider which gives him an advantage. Also the fact that Spawn still remembers his miltary training which means he is a greater fighter then any Ghost Rider if they happen to get into a fist fight between each other. The second age is too powerful for Ghost Rider because he has no chance in beating him. Maybe the first and third age Spawn, Ghost Rider mighter actually stand a fight against Spawn. Then there is the fouth age Spawn who is on the same power level as God and Lucifer who are on High Skyfather level I believe that I have heard from other people. All I can say about Ghost Rider if he was facing off with the fourth age Spawn is that bend over so you can kiss your own ass goodbye.
