Spider-Man Versus Batman

I've read alot of spidey comics and 'Batty' and never have known who would win in a fight spidey does have the powers and agility (and a sense of humor), But batmans got his technology and his brain but he is to serious about his work, he nedds to lighten up, Tell me who you think would win!

I am VERY sure this topic has been covered, extensively, already
