Grifter vs. Midnighter

I know who did win but who would really win based on their respective feats? Grifter has more then enough highend feats to suggest that he would pose a threat to Mightnighter but you decide who would win.

Not sure how MNer won either one of those, especially the second where Grifter is on top of him.

He should use his gen factor powers more.
