I dont know if it would really matter but Grimlock has access to his weapons ie. blaster, energon sword...

Are we talking G1 cartoon or comic here? If it's comic, then Hulk probably still has the intellectual advantage but not by much and probably not from a tactical standpoint.

Prof Hulk also doesn't seem to have access to the whole "Hulk Smash" rage. If that's the case then either version of Grimlock has him outgunned and overpowered.
