i'm thinking that the "now isn't exactly the best time" or w/e wasn't referring to Will's proposal at all, or at least wasn't at the same time, because it looked like she was in a different boat when that happened, and maybe on the Black Pearl when he proposed...idk...i've only seen it, like, 3 times i think...lol
as was said, the marry me line is not a proposal, per se, but a question Will asks to confirm that Liz still loves him. They are still engaged, as far as I know, but Will has had reason to question Liz's love for him. The kiss is the obvious one, of course, but as he asks this later in the movie (i think) there is a good chance there has been some tension between Jack and Liz to make him doubt their relationship further.

well, yes, there is that, but that is added on to the tension that was always there, the sexual tension, and the chemistry that Jack and Liz have. It's not just going to go away, it's still going to be there even after she 'killed' him.
Keep in mind that even if they go the W/E route, this is the first time Will will be around for a lot of the J/E interaction. The last time he saw the two of them even in the same room, they were all fighting and trying to make Will bleed in a chest full of coins. Then after that they were all preoccupied with making sure Jack didn't get hanged. So he hasn't been there to see how they interact with each other and if we all see the chemistry, he will too, and I don't think Jack will stop flirting with her just because Will's there. As Michael on The Office said, "Engaged ain't married."
