I'm a fan of Spidey as well, and under normal conditions I think he can take LDS-but in this scenario the advantages are all hers. As a cyborg she has low level superhuman strength, speed and agility. In these areas Spiderman is on a considerably higher level than LDS, but this advantage is cancelled out by the fact they're fighting in an enclosed space. LDS claws can extend to 2 feet in length, and she has a cybernetic HF. In an enclosed cage she would be able to cut Spiderman right up, before he could land enough hits to KO her.

He beat Venom the first time by outsmarting him.
His speed, agility, and spider-sense would give him time to move and when she missed he would be moving in for the KO.

Speed and agility, in this enclosed space - ummkay! Not to mention her reaction speed is most likely close enough to petes to recover from any missed strike she may have. She's not a novice, and Pete has been schooled by lesser beings.

It's a different kind of competance, fighting IQ OBVIOUSLY isn't the same as an academic one.

Look how long he has been around and who he has fought in the past.
Look at the list of who has made a complete fool of him in the past, it's a long list. And thats when he could USE his webbing, and had an ideal environment. With the stipulations in place, he loses. I f you want to imply Lady Deathstrike cannot get one good swipe in this fight, then be my guess. I think she can get off one good swipe in the majority of the bouts here, it's not farfetched. And to me, makes more sense than a gimped pete KOing her before being stabbed.

Spider-Man grew retractable stingers that appear from under his wrists. The stingers are covered in venom and can paralyze a person.
Since Brand New Day it is hard too see if Spidey still has them.

After being attacked by Rhino recently Spider-Man says that he has been healing far faster than he used to which was already super humanly fast do to his metabolism.
