Proteus vs Onslaught

In this senario, Onslaught lacks the power of Franklin Richards (for the sake of argument he is off world with the Fantastic Four), so he sets his eyes on the next best target for assimilation...Proteus.

Does Onslaught, sans Richards, have what it takes to defeat Proteus and assimilate his reality warping power, or does Proteus destroy Onslaught utterly here?

Weakened Magneto has taken out Proteus.
Onslaught can certainly do it but still works for it.
