Fight could go either way, even with prep. Spidey is quite the intelligent fighter as well. There is no way Batman is able to do much to Spidey in a fight. Although, much like most goody-two-shoe-super-power-dudes, he can take advantage of the fact that Spider-Man pulls his punches tremendously. How could he not? He punches a common crook with the speed and strength he contains and it would literally create the same level of impact on his head that you would get from falling from a tall straight drop, like the twin towers, or that 10,000 foot face on Mt. Everest, etc.
Anyway, Batman likely gasses Spidey. This is taking place in Batman's backyard, I don't think a pissed off Superman could even take Batman in his cave. It adds like, 20,000 points to his prep-ability, 😛
