Warlock vs Ghost Rider

If Adam Warlock fought Ghost Rider while he (Warlock) possessed the Soul Gem what would happen? How would the "Penance Stare" affect the gem, if at all?

Warlock wins. I mean how is GR even going to execute the stare, when Warlock far outclasses him in power, speed, and skill?
