Spider-Man vs. Captain America (Ultimate Avengers)

vs.

Spider-man from the Sam Raimi movies takes on Captain America from the two Ultimate Avengers films.

First scenario: In the middle of a city.

Second Scenario: In an open field.

Captain America has his shield. Fight until one of them is either dead or KO'd.

Who wins?

Spiderman. He is stronger, faster, has a spidey sense and can easily keep Cap away from his shield with his webbing.

On the strength thing. Ultimate Cap is much stronger than his other versions.
He took on the Hulk on his own and managed to get good strikes in.
After all Ultimate Hulk's gamma formula is based on the Super Soldier Serum.

But yeah Spidey beats in the speed and agility dept.

But this particular Cap is smart and vicious as well and likes to use guns.

Yeah this version of Cap is certainly one with great strength but nothing on the superhuman level of Spiderman. I would really like to think Cap has a chance but his only saving grace here is his shield and with Parkers Spidey sense and webbing there is no way that shield is making contact
