Matt's a LOT more skilled than Nick.
Nick definitely has the edge in the physicals with his strength and speed 5x normal.
His ability to meld with shadows and become invisible will be completely useless to him (though his ability to see the truth behind things means he'll likely know that and adjust).
His healing factor which is pretty damn good make shim a hard put down. I mean the guy grew back gouged out eyes and recovered from a cement boot and being thrown into the river pretty quick
I'd say it all comes down to whether or not his ability to see what's about to happen and predict/ project targeting will be sufficient to make up for Matt's skill advantage

It should allow him to last a while but in a sustained fight Matt will eventually take it.
