Round 2: Pure H2H.

They fights inside the Divine Library of Temen-ni-gru from DMC3.

Who wins and why?

Lady blows Natasha away with well place Kalina Ann in round 1, but loses round 2.

MCU Natasha out of all versions of Black Widow gets wrecked by Lady in all rounds. More flexible, maneuverable, better reaction feats and can perform her acrobatics even while lugging around that rocket launcher of hers. The movie Black Widow is much slower by comparison and certainly won't be avoiding that rocket in the first round.
