Who wins and why?

I'd say Electro. He can possibly just melt Sandman into glass, whereas Sandman has no way to put Electro down. Electro is also in his element in Times Square, surrounded by electricity sources. Sandmans at a disadvantage

Sandman becomes Glassman

Electro stomps. Hitting him is not going to do any lasting damage, whereas the heat from his lighting is going to mess a guy made of sand up badly.
