I wish Nightmare controlling the Hulk would give him the following abilities:
1. Maintain the Hulk’s prodigious strength;
2. Add to that a very high level of super speed (say, fast enough to be second tot he Flash);
3. Add to that high level flight, including the ability to not just move into orbit but fly FTL when needed. Much better than leaping about like a green flea;
4. Add to that super senses where he can hear the heartbeat of an ant in the Serengeti, see through solid objects, and peer to the edge of the cosmos;
5. Then, add to that heat vision that can reignite a sun;
6. And just for the fun on it, add force breath that can rival a hurricane (much better than a thunderclap) and ice-breath that has been shown to freeze a tsunami in place.
If Nightmare could give the Hulk those extra abilities ...basically, making the Hulk into Superman ...then it would be an interesting fight.
In all seriousness: just IMAGINE if the Hulk has the powers of SuperGIRL on top of his usual gamma powers. Hulk fanboys would be unbearable. After all, they already think a brute force/jumping-n-leaping/thunder-clapping one-dimensional character can defeat the likes of Sentry and Superman.
Just imagine if he was to be able to fly/superstores/long-range attacks!
The Living Tribunal would be punched out in the same way the Red Hulk punched out Uatu the Watcher ...

For Superman to win he has to:
1) Lose his ability to fly;
2) Lose his ability to move at high super speed;
3) Lose his heightened sensory abilities;
4) Lose his ranged attack capabilities ranging from burning an enemy, buffeting then with hyper winds, or simply encasing them in solid ice.
To win, Superman would have to lose all his other abilities and be left ONLY with the ability to punch hard, do thunder claps and jump.
Thus, the Hulk wins.
Unless the Hulk gets additional abilities (flight, speed, long distance attacks), in which case he would lose!!!!!!!!
