I'd be tempted to say Batman's overrated, but honestly you can't possibly give Batman too much credit.
There are two overrated characters that come to mind, though. The Punisher (really, he's just one of thousands of lame anti-heroes) is one but, far more importantly, so is Captain America. What does that 'roid monkey know about heroism? To quote Superdickery.com:
"Remember, kids! Stay away from drugs, and you can grow up to be a superhero just like me!"
"But Cap, didn't you get your powers from drugs?"
"... Shut up kid. God, I hate you all."
I rest my case.
I know this probably has been mentioned before, but i say the most overrated character is Sentry. People put so much hype on this guy, and we really dont even know what hes really capable of. "Power of a million exploding suns." Blah blah.
Underrated i still have to say Daredevil, Multple Man, and Captain Marvel(real).
And i still tihnk Namor is highly underrated.
over rated (in a straight out fight) batman - he is the world's greatest detective not the most invincible character (with prep) in the multiverse
under rated - Vision (hes got brilliant under rated powers)
Hercules - as strong as Thor but usually only fights in teams despite in the legends usually working solo

I almost forgot. Highly underrated is Nick Fury. The mans fighting skills are on par with Captain Americas. His aiming ability is as good or better than a top marksman despite the lost eye. His leadership abilities come second to none. Argueably even Caps.
hes also aged almost as well as caps
