tough one, but I can see either winning. When Rachel was in a coma, the Phoenix nearly killed Galactus (weakened state).

First time was in a What If, and, it was a stalemate,
until Galactus got bored and moved on,
Galactus stated that with time, he would destroy Phoenix.

Second time was while Galactus was starving,
and Galactus lost in that scenario.

That's it.

Now, SS-I Galactus (as in had he absorbed TAA II)

vs Phoenix (any version) ...

Galactus stomps.
