Cap is vastly stronger, faster, better trained, and won't fatigue. If conan is in his prime, Cap is likely better experienced and a better tactician.
Conan's only advantage is that he's essentially bloodlusted all the time, but I can't see this helping.
This fight would last the two minutes it took for cap to incapacitate conan with pressure point attacks. Give the man a sword or something, he might last longer.

I don't have the marvel run, but the Dark Horse conan (which is taken directly from the Robert E. Howard stories) gets a lot of mileage out of beating the tar out of lesser skilled opponents. Most of his enemies are unskilled thugs, guards, and barbarians.
Conan stands out by being more skilled than his opposition (usually..Janissa was just as skilled as he was, and they fought more or less to a draw) and keeping his wits about him in a melee. He was also given a pretty good fight by the pirate captain of the red brotherhood, who he beat to become the red brotherhood leader.
Against Cap? He gets curbstomped. Cap is fast enough that he's a blur to even daredevil's advanced senses. He's strong enough to carry around telephone poles and jump from planes with no parachute, and hit the ground running. Physically, conan isn't in the same weight class- and even if they were, Cap's endurance is superhuman. he can go hours at peak output without slowing down, and conan can't.
Conan doesn't do nearly as well vs. more powerful opponents. a Gorilla nearly killed him. Cap on the other hand has beaten Thunderstrike (!) and Hercules (!!!) in sparring matches using skill and leverage.
And finally- when speaking of fighting skill, conan's skills are basic. martial arts isn't really known at that point in time, and knowledge of pressure points and anatomy are thousands of years from being commonplace. Cap is proficient in every h2h fighting style that exists, and MAY be one of the top 5 MA's in the world, if not THE best. His skills would leave conan confused and bewildered- at least until he's taken out with a pressure point assault and KOed.
Conan has no shot here. Maybe against someone without enhanced stats.

Martial Arts isn't some shit that originated from Ancient China or some shit.
Every culture that has ever existed has had its own martial art. It simply means way of war. Which means Conan's brand of fighting, is his own brand of martial art.
Further more, there's not much variation to fighting anyway. People are people, and have limited ways they can move.
Skill is pointless to argue about. Cap wins because he's a shit ton faster and stronger. That's all that matters.
People are underestimating conan. Cap is tough and all but conan is no slouch either. Oh and a slugfest means punching each other untill someone is koed, its pure strength and durability test. Some great feats here, take a look
Did anyone notice that crazy durability feat for Cap recently.
It looked like he fell four stories high or more in that new recent avengers against Ex Nilho(or whatever his name is after he took a beating from there Robot and was KO'ed) Cap's durability is no joke.
I think it will be a tough fight but Cap edges Conan out by very little.

I'll definately grant that Conan is a badass. Dude can hand out some serious punishment, and take a solid beating from man and mythic creature alike then come back swinging. That being said, we're talking about the -perfect- man here. Not to mention Cap's vast ammounts of training and experience. Not to badmouth the Cimmerian or anything, but he really only stands a 2/5 shot. If that.
