Spider-Man is able to web Wolverine to a wall and then there is no way he could be able to break free, if his arms would be webbed up aswell. Wolverine does not have the strenght to break free.
And Spider-Man was already in the position to kill Wolverine.
He was beating the crap out of him, but it didn't bother Wolverine all to much, since most of the punches went against Wolverine's head, which is totally protected by the Adamantium, so knocking him out via punches to the head is not an easy task.
But then Spider-Man grabbed his neck and Wolverine said, that he should go ahead. It would take one spin, and Spider-Man could break Wolverine's neck, but Spider-Man is not a killer. Wolverine knows that and Spider-Man knows it aswell, the reason why he backed off.
Still, actually breaking Wolverine's neck isn't important at all, since restraining him with the webbing would be more then enough to pull off a win via K.O. ... and Spider-Man is more then fast and agile enough to pull off something like that on a regular basis.
