Exactly what are you basing the Sandman theory on? Some guy who "reportedly" saw some preliminary art sketches? That means aboslutely nothing.
A certain portion my information is being based on this:
Actor Thomas Haden Church reveals several clues about the villain he will be playing in Spider-Man 3 in the latest issue of Entertainment Weekly.
EW: After reminding the world he could really act in Sideways, the Oscar nominee will play an undisclosed, top secret villain in 2007's Spider-Man 3. How about a hint?
THC: "He's a horse of many colors."
EW: There are horses in Spider-Man?
THC: "Let's just say he's an amorphous collection of protons, electrons, and neutrons, of different colors."
And this:
"Church has been in Los Angeles lately for wardrobe fittings and "being in the mud all day. They did plaster casts of my body for prosthetics. They also wanted to cut my hair to get an idea for (computer) animators (to determine) what my look will be."

Now comes the question of "Why Chameleon and not a different villain?"Well, if anyone has been paying attention to the pattern that has taken place involving the Spider-Man films and the video game adaptions then you will notice a very significant item. (Besides Green Goblin and Doc Ock) No character that has been featured in the games has been featured in any of the films and most certianly won't be in the near future. For instance, Black Cat was once included in the original script of Spider-Man 2 and then x'd out, then what? Black Cat was featured in the video game adaption of Spider-Man 2 and was not included in the upcoming Spider-Man 3 even after some fans' theories of this character being one of the villains.
Short list of characters that were featured in the video game adaptions:
1. Scorpion
2. Shocker
3. Mysterio
4. Black Cat
5. Vulture
6. Rhino
Characters that Thomas Hayden Church is obviosuly not going to play in Spider-Man 3:
1. Hobgoblin
2. Venom
3. Lizard
4. Green Goblin 2
5. Electro
6. Kraven
7. Carnage
8. Kingpin
A few others....
Plus Chameleon fits very perfectly into the pattern of classic villains that Raimi has chosen thus far.
