Death happens because our bodies wear out. Our cells lose the ability to regenerate as quickly as they are lost; some die off completely. Our bodies slowly begin to shut down, and, finally, the energy needs of the body cannot be met, resulting in death.
On a cellular level, all death happens because of the inability to produce enough ATP to supply cells with energy.

Death doesn't exist because of birth. If we're going to get into the nitty-gritty retarded crap, yes, it exists because of birth because birth eventually leads to death. However, death does not exist solely because birth exists; it isn't some ying-yang counterbalance crap.
Death doesn't exist to give value to life. That's a human creation. Do animals value life? No. They kill and eat and survive and eventaully die themselves and then smaller things eat them and the whole cycle begins again. Death isn't some unnamed force that goes about balancing out the world. Death doesn't exist to make sure that all good things come to an end. Death exists because of the body's wearing down.

I generally agree with you, however, it has been found that we die sooner then our bodies falling apart. We have genes that turn on the aging process that sometimes go wrong and cause Progeria. If what you say is true, then there would be no aging gene.
