Tony didn't help Peter design anything. Tony designed that suit himself, and gave it to Peter as a "gift".

And honestly? I can see this fight going both ways. IM, even with his new upgrades, would still have a hell of a time even touching Spider-Man (he's avoided faster). Spidey, on the other hand, lacks the firepower to put IM down from the get-go. But enough wear-and-tear with his super strength can do the job as well.
So, I'm going to keep contemplating this. But until then, I feel that this could definitely go either way for both parties. So, 5/10 for both right now.
This is, of course, assuming that Tony doesn't simply hack into Spidey's suit.

Can you say High CL100, weaponry to take down a 2nd world country, A healing factor that rivals Wolverine's, fly's at mach 10+, Access to all the electronics on the planet, 100 Iron man suits at his finger tips (literally), A mind so quick he is capable of multitasking 100 things at once. (maybe a exaggeration...who knows) Armor that Spiderman couldn't dent if he hit it for a week straight. BTW bring your Pansie Colossus to the fight too and he'll go down even faster than he normally does in the Ultimate Universe visiting San Francisco.

Iron Man would own Spidey. Tony wouldn't even need to hack into the Spidey armor. Tony's armor is so much more advanced than Parker's that it's not even fair.
Honestly, what could Spidey really do to Iron Man? Iron Man has Spidey beat in range attack, strength, smarts, and is now just as fast as him in the speed dept. thanks to extremis.
And that remark about Spidey winning 5/10 is laughable. I see Spidey winning 1 at most and even that would be a fluke.
