The reason batman wins is the fact that he runs different simulations of hypothetical fights. That is if this guy have this type of power, if this person can do this how I'm I going to stop him or her. And there is a chance that someone with spiderman's stat or close to it is going to show up. And with this information batman would have a good idea of how to take down spiderman if he ever shows up.
Now I am not saying that he sees spiderman do something and then he goes and put spiderman information in his machine. This simulation deal is something that he does from time to time, at least that is what I got from it.
This simulation thing is why spiderman loses because he does not know who he is fighting while batman knows everything there is to know or maybe just a little bit to stop spiderman.

Batman has batshield wipers to clear off his eyes.
batman starts fight with flash pellets to blind pete. after a second or two bruces notices pete can still hang through some sort of precog so tries emp and disables petes ss. as pete flails around bruce throws gas pellets in a wide circle around pete. now blind, gased, and disorientated pete doesnt notice bruce dropping down and zapping him with high powered tazer to give bats the win.

(EMP disables Peters spider-sense, umm ... I do not see Electro Magnetic Pulse having any effect on Spider-senses. Maybe it had, if spider-man was a robot. Then again Spider-senses warn about Batman trying to distrubt them.) In every fight Batman seems to be carrying awful lot of different shit in his belt. Does the belt have somekind of portal to another dimension?
I conclude that they fight would go something like this. Batman throws lot of useless shit from his gadget belt. Spider-man tells some jokes. Batman is all serious (Spider-man says: Why so serious?). After hopping around for a while Spider-man gets tired and hits Batman once. Batman flies around 50 feet towards a brick wall and falls unconcious. If this is not enough then Spider-man gets Venom suit or the suit gotten from Stark. Also he will gain Captain Marvel powers ... (about as possible as Batman carrying endless amount of different gadgets in his pocket)

No offense Feron but in terms of power this would be a massacre Spiderman is several weight classes above Batman, in a forum battle Spiderman would only need one punch and he would rip Batman head off. I've worked in renovations and I know how much a ton is and what would happen if a person were buried under one ton, Spiderman can easily put 4 tons into one punch which would mean he was still playing with Batman... just one of those is all it would take.
