I think it would be a very long ranged fight. It could go either way if they got near each other. Batman has KO gases and toxins and all martial arts types, Spiderman has his webs and uber strength and agility. They'd constantly be playing mind games with each other, setting traps, making dummy runs etc, its the only way they could defeat each other.
Man it's tough. It's a 50/50 fair fight IMO.
I would say 80/20 for Spider-Man because anything Batman can, Spider-Man can do better and faster. Martial abilities won't help much against Spider-Man, maybe Batman could hit Spidey a few times, but it won't hurt him a lot. Spider-Man only has to hit Batman once, and the fight is over. That's a fact.
Mind you, I don't underestimate Batman, I know him pretty well and I realize he's capable of fighting the great guys. But without his famous prep-time, he's no match. His weapons are great against human opponents, but they will only annoy Spider-Man, maybe slow him down a bit, confuse him somewhat, but nothing more. Even a slowed Spider-man remains faster and stronger than Batman.
But all of this discussion is in fact useless, because it all depends on the writer, and in some extent, to the story. It isn't so hard to come up with a fight-scenario where Batman rules big time. But it will be hard for me to believe it, because on paper, Spider-Man has the best cards. He has four of a kind, Batman only two pairs.
But Batman is a great bluffer 🙂
